General Terms and Conditions of the efakturia.sk service

Version: 2.0Effective from: 10 October 2026Last updated: 10 October 2026

Article 1 – Introductory provisions and the provider

1.1 These general terms and conditions (the "T&C") govern the rights and obligations in the provision of the efakturia.sk service (the "Service").

1.2 The Service is provided by IT-DK s. r. o., with its registered office at Odbojárov 1957/8, 026 01 Dolný Kubín, Slovakia, Company ID (IČO): 57 626 472, Tax ID (DIČ): 2122858012, registered in the Commercial Register of the Žilina Municipal Court (Mestský súd Žilina), Section Sro, Insert No. 91296/L (the "Provider").

1.3 The Provider's contact details:

1.4 The supervisory authority under Section 4(1)(e) of Act No. 22/2004 Coll. on Electronic Commerce is the Slovak Trade Inspection, Inspectorate for the Žilina Region (Slovenská obchodná inšpekcia, Inšpektorát SOI pre Žilinský kraj), Predmestská 71, P. O. Box B-89, 011 79 Žilina.

1.5 The Provider is a VAT payer from 1 November 2026 under Act No. 222/2004 Coll. on Value Added Tax (the "VAT Act"). Until 31 October 2026 it was not a VAT payer under Section 4 of the VAT Act and its prices were final. From 1 November 2026 prices are stated excluding VAT and VAT at the rate of 23 % is added to them (Clause 7.12).

1.6 Since 13 August 2026 the Provider has been listed in the list of intermediaries of the delivery service published by the Financial Administration of the Slovak Republic (Finančná správa Slovenskej republiky). The delivery service under Section 76a of the VAT Act itself is provided by a certified delivery service provider with which the Provider cooperates (Clause 5.3).

Article 2 – Definitions

For the purposes of these T&C:

  1. Customer means an entrepreneur under Section 2(2) of the Commercial Code (Act No. 513/1991 Coll.) (a natural person – entrepreneur or a legal person) who has set up an account in the Service. The Customer may be a VAT payer or a non-VAT payer.
  2. User means a natural person who uses the Service on behalf of the Customer under their own login credentials (e.g. a managing director, an employee or an accountant invited by the Customer).
  3. Account means the Customer's space in the Service with its data, documents, settings and credit.
  4. Document means an invoice or another document (e.g. a credit note or a debit note) that the Customer issues and sends in the Service or receives through the Service.
  5. Peppol means the international network for the exchange of electronic documents, which is the European delivery standard under Section 76a(3) of the VAT Act.
  6. Certified Provider means a certified delivery service provider under Section 76a(1) and (7) of the VAT Act (Peppol Access Point). The Provider sends and receives Documents in the Peppol network through it.
  7. Credit means the prepaid balance on the Account from which the price of Documents is paid.
  8. Welcome Credit means free credit that the Provider adds to a new Account (Clause 7.6).
  9. Agreement means the agreement on the provision of the Service between the Provider and the Customer under Article 3. Its content consists of these T&C including their annexes.

Article 3 – Conclusion of the Agreement, governing regime and exclusion of consumers

3.1 The Service is intended exclusively for entrepreneurs for the purposes of their business activity. It is not intended for consumers within the meaning of Section 52(4) of the Civil Code and Act No. 108/2024 Coll. on Consumer Protection.

3.2 By registering, the person setting up the Account declares that:

  1. they are acting within the Customer's business activity,
  2. they are authorised to act on behalf of the Customer (as the statutory body or a person authorised by it under Sections 13 to 16 of the Commercial Code),
  3. the data provided at registration are true and complete.

If it is shown that the Account was set up by a person who is not an entrepreneur or is not acting within their business, the Provider is entitled to close the Account. It will refund the topped-up Credit under Clause 7.9.

3.3 The Agreement is an innominate contract under Section 269(2) of the Commercial Code. It is concluded between entrepreneurs in the course of their business activity; it is therefore a commercial obligation relationship under Section 261(1) of the Commercial Code and is governed by the Commercial Code. Should the Customer not be an entrepreneur, the parties have agreed under Section 262(1) of the Commercial Code that their relationship is nevertheless governed by the Commercial Code.

3.4 The Agreement is concluded at the moment the Customer completes the registration and, in doing so, expressly confirms by ticking a checkbox that they have read and agree to these T&C and the Data Processing Agreement. The Provider keeps the time the consent was given and the version of the T&C the Customer agreed to. The T&C form part of the Agreement under Section 273(1) of the Commercial Code. A deviating written arrangement in an individual contract takes precedence over the T&C (Section 273(2) of the Commercial Code).

3.5 The Agreement is concluded in the Slovak language. The current version of the T&C is available at efakturia.sk/podmienky. The Provider keeps earlier versions and will send them by e-mail on request (request to podpora@efakturia.sk). The Customer may correct errors in the entered data before completing the registration (Section 5(3) of Act No. 22/2004 Coll.).

3.6 The Agreement includes the Data Processing Agreement under Article 28 of Regulation (EU) 2016/679 (the "GDPR"). It forms Annex No. 1 to these T&C and is published at efakturia.sk/spracuvanie-udajov.

3.7 The Agreement is concluded for an indefinite period.

Article 4 – Account, Users and verification

4.1 The Customer is obliged to provide true, complete and up-to-date data and to update them without undue delay. This concerns in particular the business name, registered office, Company ID (IČO), Tax ID (DIČ), VAT ID (IČ DPH) and bank details.

4.2 Team. The Customer may invite other Users to the Account and assign them a role:

Actions of Users in the Account are deemed to be actions of the Customer. The Customer is responsible for whom it grants access to. It is also obliged to remove access from persons who are no longer authorised to have it.

4.3 Access security. The User is obliged to protect their login credentials, second factor (2FA), passkeys and API keys against misuse. The Provider recommends turning on two-factor authentication. If misuse is suspected, the Customer is obliged without delay to:

The Provider is not liable for actions performed with the Customer's valid login credentials or API keys before the misuse is reported, unless the Provider caused their leak.

4.4 Identity verification before registration in the Peppol network. For the Customer to be registered in the Peppol network as a recipient and sender, the identity of the person acting on its behalf must be verified. Under Section 76a(2)(b) of the VAT Act, the Certified Provider is obliged to ensure a high level of reliability of the identification of both the sender and the addressee. The acting person enters their first name, surname and date of birth, and the Provider verifies them manually. Without successful verification, Documents cannot be sent or received through the Peppol network. The processing of the data is described in the Privacy Policy.

4.5 Company verification. The Provider verifies the Customer's data by querying public registers, in particular the Commercial Register of the Slovak Republic (ORSR) and the VIES system for verifying VAT IDs. Only the result of the verification is stored from the query.

Article 5 – Subject and scope of the Service

5.1 The Provider undertakes to provide the Service to the Customer in the scope set out in this Article. The Customer undertakes to pay the price for it under Article 7.

5.2 The Service includes in particular:

  1. issuing Documents and exporting them in PDF, UBL 2.1 and ISDOC formats,
  2. sending Documents by e-mail and through the Peppol network,
  3. receiving electronic Documents through the Peppol network and displaying them in the Account,
  4. uploading Documents in UBL 2.1 / Peppol BIS 3, ISDOC or PDF format and importing data from CSV. From a PDF, the Service reads the text and pre-fills a form that the User checks. Import of PDFs from the SAP system is available only to selected Customers by individual agreement,
  5. recurring invoices – on the invoicing day the Service automatically creates a draft Document and sends an e-mail about it. Sending is always confirmed manually by the User,
  6. payment reminders to the Customer's customers according to its instructions and settings,
  7. a team of Users with roles (Clause 4.2),
  8. the package for the accountant – a monthly ZIP file of issued and received Documents, which the Service can automatically send to an e-mail address entered by the Customer,
  9. a REST API with an API key, and webhooks (Article 6),
  10. optional connection of the Customer's bank account for reading transactions to match payments (Clause 6.5) and import of bank statements in the formats stated in the application,
  11. a shared link to a Document for the Customer's customer (Clause 6.6),
  12. searching and verifying data on entities in public registers (RPO, ORSR, VIES, ARES, lists of the Financial Administration of the Slovak Republic),
  13. a QR code for payment (PAY by square),
  14. bug reporting including a screenshot.

5.3 Delivery through the Peppol network. When sending and receiving Documents through the Peppol network, the Provider hands the Documents over to the Certified Provider. The Certified Provider ensures their delivery and the fulfilment of the reporting obligations towards the Financial Directorate under Section 76a(2)(e) of the VAT Act. The Certified Provider is a company with its registered office in the Slovak Republic, entered in the register under Section 76a(5) of the VAT Act. Its identification is in the list of sub-processors in Annex A to the Data Processing Agreement. The Provider may change it. It will inform the Customer of the change in advance following the procedure under Clause 5.3 of the Data Processing Agreement.

5.4 Data reporting to the Financial Administration. If a Document is sent through a delivery service, the VAT payer's obligation to report the data from the Document to the Financial Directorate is deemed fulfilled by handing over the electronic invoice to the delivery service (Section 85o(11) of the VAT Act). The reporting is performed automatically by the Certified Provider. The Customer acknowledges that the statutory obligation to report the data (Section 85o(9) and (10) of the VAT Act) remains with the Customer itself. The Provider merely assists it technically in fulfilling it.

5.5 Delivery status. For each Document sent through the Peppol network, the Service displays its status (e.g. handed over, delivered, error). The Customer is obliged to monitor the delivery status on an ongoing basis. If a Document is in an error state or is not delivered within a reasonable time, the Customer must act without delay: resend it, contact support, or use another lawful method of delivery.

5.6 What the Service is not. The Service is not accounting software or an archiving service of the Customer. The Customer is responsible for keeping its accounts, for the content of Documents and for retaining them for the period required by law, in particular under Section 35 of Act No. 431/2002 Coll. on Accounting and Section 85o(15) of the VAT Act. The Service provides it with an export of Documents for this purpose (Clause 12.4).

5.7 The Provider is entitled to develop the Service continuously and to change its functions and appearance. If a change would substantially restrict a function the Customer pays for, the Provider will announce it in advance following the procedure under Article 15.

5.8 Licence. The Service includes a non-exclusive and non-transferable authorisation for the Customer and its Users to use the software of the Service. It applies for the term of the Agreement, worldwide and exclusively for the purposes of the Customer's business (a licence under Sections 65 and 67 of Act No. 185/2015 Coll., the Copyright Act). The remuneration for the licence is included in the price for Documents. The Customer is not entitled to:

Article 6 – Special functions

6.1 API. The API key is issued by the Account Administrator. The limit is 10,000 requests per calendar month per API key. Once it is exceeded, the Service rejects further requests with that key (HTTP 429) until the end of the calendar month. The Provider may change the limit following the procedure under Article 15. The Customer is responsible for keeping the API key secret and for all actions performed using it. Documents sent through the API are subject to the same price list as with the web interface.

6.2 The Provider may temporarily restrict or block an API key if its use endangers the stability or security of the Service. It will inform the Customer about this without undue delay.

6.3 Webhooks. The Service sends notifications of events, which may contain data from Documents, to the URL entered by the Customer. Each notification is signed with the HMAC-SHA256 algorithm. The signature is in the "X-Webhook-Signature" header in the form "sha256=…". The secret for verifying the signature is displayed only when the webhook is created. The Customer is responsible for ensuring that:

If the secret leaks, the Customer is obliged to delete the webhook and create a new one.

6.4 Package for the accountant. Documents are sent to the e-mail address entered in the settings by the Administrator. The Customer is responsible for the correctness of the address and for the recipient being entitled to receive the data (e.g. having an accounting services contract with the Customer).

6.5 Bank connection (optional). The function is used only if the Customer turns it on itself. The account information service under the payment services regulations (PSD2) is provided by the licensed payment service provider Enable Banking Oy, Otakaari 5, 02150 Espoo, Finland. The Customer grants consent to account access and accepts the terms of this service directly in its bank and with Enable Banking Oy. It may withdraw the consent at any time. The Service has read-only access to the account (balances and transactions) and cannot initiate payments. The Customer is obliged to check the result of the automatic payment matching.

6.6 Shared link. A link to a Document makes the Document available to anyone who knows the link. The validity of the link is not limited in time. The Customer decides to whom it sends the link and may revoke it at any time. A revoked link stops working immediately.

6.7 Bug reporting. A screenshot attached to a report may contain data from the Account. Before sending, the User should hide data that are not needed to resolve the bug.

Article 7 – Price, Credit and payments

7.1 The Service is paid from prepaid Credit. The price is €0.15 (from 1 November 2026 excluding VAT, €0.1845 including VAT) for:

  1. each Document sent through the Peppol network, including a Document uploaded from a file and then sent through the Peppol network,
  2. each Document received through the Peppol network.

Free of charge are in particular:

The current price list is available at efakturia.sk/cennik. There is no monthly flat fee, minimum purchase or commitment period.

7.2 Credit top-up. The Customer tops up the Credit by bank transfer to the Provider's account stated in the Account, with the variable symbol assigned to the Account. The minimum amount of a single top-up is €5. The Credit is added once the payment has been credited to the Provider's account. The Provider will allocate a payment without the correct variable symbol only if it can identify it unambiguously. Otherwise it will return it to the payer without undue delay.

7.3 For each top-up the Provider issues an invoice, which is available in the Account. The topped-up Credit is an advance payment for future services. It is neither a deposit nor electronic money.

7.4 Use. The price of a Document is deducted from the Credit at the moment it is sent or received through the Peppol network. The Credit is kept including VAT, so from 1 November 2026 the price including VAT is deducted for a Document. When the balance falls below the value of ten Documents, the Provider notifies the Customer by e-mail.

7.5 Insufficient Credit.

  1. If the Credit is not sufficient for the price of the Document being sent, sending through the Peppol network is suspended until the next top-up. The Customer acknowledges that the statutory time limits for issuing and sending an invoice continue to run and that complying with them is its obligation.
  2. Received Documents are delivered to the Customer even when the Credit is zero or insufficient. Their price is deducted and the Credit balance may become negative. A negative balance is a receivable of the Provider and is set off against the next top-up.

7.6 Welcome Credit. The Provider adds to a new Account, free of charge, a welcome credit corresponding to 10 Documents (€1.50, from 1 November 2026 €1.85). The Welcome Credit:

  1. is a one-off gratuitous bonus. It is not an advance payment and is not refunded, not even when the Account is closed,
  2. is not limited in time,
  3. is not transferable to another Account,
  4. is not granted if the same person sets up multiple Accounts. If it has already been added, the Provider may remove it.

7.7 Order of use. The Welcome Credit is used first. The topped-up Credit is used only after it has been exhausted.

7.8 The Credit does not expire during the term of the Agreement.

7.9 Refund of Credit on termination of the Agreement. On termination of the Agreement, the Provider will, at the Customer's request, refund the unused topped-up Credit, regardless of its amount. It is the sum of the paid top-ups less the price of the Documents that were paid from the topped-up Credit under Clause 7.7. The Provider will refund it within 30 days of receipt of the request to the bank account specified by the Customer. The Customer sends the request to podpora@efakturia.sk. The Welcome Credit is not refunded. If the balance is negative, the Customer is obliged to pay it on the basis of the Provider's invoice with a due date of 14 days.

7.10 Late payment. In the event of late payment of a monetary obligation, the Provider is entitled to late-payment interest under Section 369 of the Commercial Code in conjunction with Government Regulation No. 21/2013 Coll.

7.11 Price change. The Provider may change the price following the procedure under Article 15. The new price applies to Documents processed from the effective date of the change. If the Customer does not agree with the change, it may terminate the Agreement with immediate effect. The unused topped-up Credit will be refunded to it under Clause 7.9.

7.12 VAT. If the Provider becomes a VAT payer, prices will be increased by VAT under the applicable regulations from the effective date of the registration. The Provider will announce the change in advance following the procedure under Article 15. A Customer who does not agree with the change may proceed under Clause 7.11.

Article 8 – Customer's obligations and acceptable use

8.1 The Customer is responsible for the content of Documents, the correctness of the data and the choice of the correct recipient. It is also responsible for complying with the regulations on invoicing, VAT and accounting.

8.2 The Customer must not use the Service in particular for:

  1. issuing fictitious or false Documents or any other tax or criminal conduct,
  2. sending unsolicited mail or harassing third parties,
  3. interfering with the security of the Service, testing vulnerabilities without the Provider's written consent, or circumventing limits,
  4. uploading malicious code,
  5. processing special categories of personal data (Article 9 GDPR) and data relating to criminal offences (Article 10 GDPR), which do not belong in Documents.

8.3 The Customer must have its own legal basis for processing the personal data of its customers, suppliers and other persons that it enters into the Service (see the Data Processing Agreement).

8.4 On termination of the Agreement, as well as when changing the delivery service provider, the Customer is obliged to ensure that it can continue to receive electronic invoices. If necessary, it will choose another provider on the portal of the Financial Administration of the Slovak Republic. Once the registration in the Peppol network has been cancelled, Documents can no longer be delivered through the Service.

Article 9 – Availability of the Service, maintenance and support

9.1 The Provider will make reasonable efforts to ensure the continuous availability of the Service. It does not guarantee any specific percentage of availability.

9.2 The Provider performs planned maintenance outside working hours where possible and announces it in advance in the application or by e-mail.

9.3 If the Service was unavailable, the Provider, after restoring it, will without undue delay process the Documents waiting to be sent as well as the Documents delivered to it by the Certified Provider during the outage.

9.4 Support is provided by e-mail at podpora@efakturia.sk on working days, without undue delay.

9.5 Complaints. The Customer reports defects of the Service (e.g. incorrectly deducted Credit or an undelivered Document) to podpora@efakturia.sk without undue delay after discovering them. The Provider will handle the complaint within 30 days. It will return any wrongly deducted Credit to the Account.

Article 10 – Outage of the delivery service

10.1 The Provider is responsible for handing over a Document sent by the Customer in the Service to the Certified Provider without undue delay and for showing the Customer the status of its processing.

10.2 If a technical failure on the side of the Provider or the Certified Provider prevents sending, delivery or data reporting, the Provider:

  1. will inform the affected Customers about it without undue delay in the application and by e-mail,
  2. after it has been remedied, will ensure the prompt processing of the Documents waiting to be sent,
  3. will, on request, issue to the Customer a confirmation of the failure (start and end, scope, affected Documents) and help it obtain a confirmation from the Certified Provider.

10.3 The Customer acknowledges that the tax office will not impose a penalty if the data were not reported in time due to a demonstrable technical failure on the side of the certified delivery service provider and were reported promptly after it was remedied. This is governed by Section 85o(14)(c) and (d) of the VAT Act, and from 1 July 2030 by Section 80(12)(e) and (f) of the VAT Act. The confirmation under Clause 10.2 point 3 serves to prove this fact.

10.4 The Provider is liable for a failure on the Provider's side under Article 11.

Article 11 – Liability for damage

11.1 The parties are liable for damage under Section 373 et seq. of the Commercial Code. The Provider is liable to the Customer for the conduct of the Certified Provider and other sub-processors as if it were performing itself (Section 331 of the Commercial Code).

11.2 The Provider is not liable for damage caused by the Customer or its Users, in particular:

  1. by incorrect content of a Document, an incorrect recipient or incorrect data of the Customer,
  2. by not monitoring the delivery status and not acting in the event of an error (Clause 5.5),
  3. by not topping up the Credit (Clause 7.5 point 1),
  4. by a leak of login credentials or API keys not caused by the Provider,
  5. by incorrect settings of webhooks, the accountant's e-mail or shared links.

11.3 Liability is excluded in circumstances excluding liability under Section 374 of the Commercial Code. These include, for example, a natural disaster, a widespread outage of electricity or internet infrastructure, a cyber attack that could not have been prevented even with professional care, or a decision of a public authority.

11.4 Foreseeable damage. In accordance with Section 379 of the Commercial Code, the parties declare that the damage that can be foreseen at the time of conclusion of the Agreement as a possible consequence of a breach of the Provider's obligations is, given the price and nature of the Service, at most the sum of the prices paid by the Customer to the Provider in the 12 months before the damage occurred, but not less than €500. This declaration does not apply to damage caused intentionally or by gross negligence.

11.5 The Customer is obliged to prevent and mitigate damage (Section 384 of the Commercial Code), in particular by regularly exporting and archiving its Documents.

Article 12 – Term and termination of the Agreement

12.1 Termination by the Customer. The Customer may terminate the Agreement at any time:

12.2 Termination by the Provider. The Provider may terminate the Agreement even without giving a reason. The notice period is 30 days from the day the notice is delivered by e-mail.

12.3 Withdrawal and suspension. The Provider may withdraw from the Agreement (Section 344 et seq. of the Commercial Code) or temporarily suspend the Account if:

12.4 Export – do it before closing the Account. During the term of the Agreement, the Customer may download its Documents and data at any time: the ZIP and CSV export in the application, the package for the accountant and individual Documents in PDF, UBL 2.1 and ISDOC. After the Account is closed, the export is not available. The Customer is therefore obliged to download before closing the Account all Documents it needs, in particular for statutory archiving. The Service will remind it of this before closure.

12.5 Deletion of data. The Provider will delete the Customer's data including Documents within 30 days of termination of the Agreement. In backups they will cease to exist at the latest after a further 14 days as part of their regular cycle. In the meantime the backups are used only for disaster recovery. The Provider does not retain the Customer's Documents after termination of the Agreement; their archiving is the Customer's obligation (Clause 5.6). Only the following will not be deleted:

12.6 After termination of the Agreement, the Provider will without undue delay arrange through the Certified Provider the cancellation of the Customer's registration in the Peppol network.

12.7 The provisions on liability, on the refund and payment of Credit, on confidentiality and on dispute resolution survive termination of the Agreement.

Article 13 – Personal data protection and confidentiality

13.1 With regard to the personal data of Users and persons acting on behalf of the Customer, the Provider is the controller under Article 4(7) GDPR. This concerns the account, login, identity verification and invoicing of the Service. The processing is described in the Privacy Policy.

13.2 With regard to the personal data that the Customer enters into the Service or receives through it, the Provider is the Customer's processor under Article 4(8) GDPR. These include, for example, customers, suppliers, their contact persons, the accountant, and data in Documents and bank transactions. Their processing is governed by the Data Processing Agreement (Annex No. 1). The list of sub-processors is in its Annex A.

13.3 The Provider keeps the content of Documents and the Customer's data confidential and will not use them for any purpose other than providing the Service. It accesses the Customer's data only to the extent necessary, in particular when handling a support request or a bug, or where required by law.

13.4 The Provider may use anonymised and aggregated statistical data on the use of the Service (e.g. the number of Documents) to improve the Service. Such data cannot be used to identify the Customer or any natural person.

Article 14 – Intellectual property

14.1 The software of the Service, its design, the "efakturia" designation and the documentation are subject to the rights of the Provider or its licensing partners. The Agreement does not transfer any rights to the Customer other than the licence under Clause 5.8.

14.2 The Customer's data and Documents belong to the Customer. The Provider has only the authorisation to them that it needs to provide the Service.

14.3 The Provider may use the Customer's suggestions and comments on the Service free of charge to improve it.

Article 15 – Changes to the T&C

15.1 The Provider is entitled to change the T&C, in particular in the event of a change in legislation, the scope of the Service, the price or the sub-processors.

15.2 The Provider will notify the Customer of a change by e-mail to the address of the Account Administrator at least 14 days before it takes effect and will publish it on the website. The notification contains a summary of the changes.

15.3 In the event of a material change, the Provider will request express consent from the User at login and will keep the time of consent and the version of the T&C. Until consent is given, the Provider may allow the User only to export data and close the Account. Receiving Documents through the Peppol network and deducting their price from the Credit (Clause 7.5 point 2) continue automatically even during this period, so that the Customer does not lose invoices being delivered to it. If the Customer does not agree with the change, it may terminate the Agreement with effect at the latest from the effective date of the change. The unused topped-up Credit will be refunded to it under Clause 7.9.

15.4 The period under Clause 15.2 need not be observed in two cases:

Article 16 – Delivery of notices and communication

16.1 The parties deliver notices to each other by e-mail. The Provider writes to the e-mail of the Account Administrator. The Customer writes to podpora@efakturia.sk, and in matters of personal data to gdpr@efakturia.sk. An e-mail is deemed delivered on the working day following its sending, unless the sender has received a non-delivery report.

16.2 The Provider may also display operational notices (e.g. low Credit or a delivery error) in the application.

Article 17 – Final provisions

17.1 The Agreement and these T&C are governed by the laws of the Slovak Republic, in particular the Commercial Code, excluding conflict-of-law rules.

17.2 The parties will endeavour to resolve disputes amicably. Disputes are decided by the courts of the Slovak Republic having subject-matter and territorial jurisdiction under Act No. 160/2015 Coll. (the Civil Dispute Procedure Code). If the Customer has its registered office or place of business in another member state of the European Union, the parties have agreed under Article 25 of Regulation (EU) No 1215/2012 that disputes are decided by the courts of the Slovak Republic, namely the court having territorial jurisdiction according to the Provider's registered office.

17.3 The Customer is not entitled to assign the rights under the Agreement to a third party without the Provider's consent. The Provider may assign the Agreement to a legal successor or to the acquirer of the enterprise or a part of it that includes the Service. It will notify the Customer of this.

17.4 If any provision of the T&C is invalid or ineffective, the remaining provisions remain in force (Section 41 of the Civil Code). The parties will replace it with a provision that comes closest to its purpose.

17.5 Annexes: Annex No. 1 – Data Processing Agreement. It has its own annexes: the list of sub-processors and the technical and organisational measures.

17.6 These T&C take effect on 10 October 2026. The Provider will notify Customers who registered earlier of the new version by e-mail. The User confirms it by giving express consent at the first login (Clause 15.3). For these Customers the new version applies from the day consent is given; until then the previous version applies. Receiving Documents and deducting Credit continue in the meantime.
